1. Agreement to Terms

By accessing or using Hookline ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

Hookline is a creative intelligence platform that:

  • Connects to your Meta (Facebook/Instagram) and TikTok advertising accounts
  • Analyzes your ad performance data using artificial intelligence
  • Automatically tags and categorizes your ad creatives
  • Detects ad fatigue and performance patterns
  • Generates UGC (User Generated Content) scripts based on your winning ad patterns
  • Provides weekly intelligence reports via email

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use Hookline. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • You may not share your account with others or create multiple accounts

3.3 Account Security

We use Clerk for authentication. You are responsible for:

  • Keeping your login credentials secure
  • Notifying us immediately of any security breach
  • Using strong passwords and enabling two-factor authentication when available

4. Third-Party Account Connections

4.1 Meta and TikTok Integration

  • You may connect your Meta and/or TikTok advertising accounts to Hookline
  • By connecting these accounts, you authorize Hookline to access and retrieve your ad performance data
  • You represent that you have the legal right to connect these accounts and authorize data access
  • You are responsible for maintaining valid OAuth tokens and permissions with Meta and TikTok
  • We store OAuth tokens securely and refresh them automatically when needed

4.2 Permissions and Scope

  • Hookline requests read-only access to your ad performance data
  • We do not modify, create, or delete ads in your accounts
  • We only access data necessary to provide our analysis and insights
  • You may revoke access at any time through your Meta or TikTok account settings

4.3 Third-Party Terms

Your use of Meta and TikTok services is also governed by their respective Terms of Service and Privacy Policies. Hookline is not responsible for the policies or practices of these third-party platforms.

5. Use of Service

5.1 Permitted Use

You may use Hookline solely for:

  • Analyzing your own advertising performance
  • Generating insights and scripts for your marketing campaigns
  • Improving your advertising strategy based on data-driven insights

5.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Interfere with or disrupt the Service or servers
  • Transmit any viruses, malware, or harmful code
  • Use the Service to analyze or access data from accounts you do not own or have permission to access
  • Resell, redistribute, or sublicense access to the Service
  • Use the Service to compete with Hookline or build a similar service

6. Data and Content

6.1 Your Data

  • You retain ownership of all data you upload or connect to Hookline
  • You grant Hookline a limited license to use, process, and analyze your data solely to provide the Service
  • We do not sell your data to third parties
  • You may export or delete your data at any time

6.2 AI-Generated Content

  • Scripts, insights, and analyses generated by Hookline are provided "as is" for your use
  • AI-generated content may contain errors or inaccuracies
  • You are responsible for reviewing and validating all AI-generated content before use
  • Hookline does not guarantee the performance or effectiveness of generated scripts

6.3 Our Intellectual Property

  • The Service, including its design, features, and functionality, is owned by Hookline
  • All trademarks, logos, and brand names are the property of Hookline
  • You may not copy, modify, or create derivative works of the Service

7. Subscription and Payment

7.1 Subscription Plans

Hookline offers various subscription plans with different features and limits. Current pricing and plan details are available on our website.

7.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice to existing subscribers
  • Failed payments may result in suspension or termination of your account

7.3 Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • No refunds are provided for partial billing periods

8. Service Availability and Modifications

8.1 Availability

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted access
  • The Service may be unavailable due to maintenance, updates, or unforeseen circumstances
  • We are not liable for any losses resulting from Service unavailability

8.2 Modifications

  • We reserve the right to modify, suspend, or discontinue any part of the Service at any time
  • We will provide reasonable notice of significant changes when possible
  • Continued use of the Service after changes constitutes acceptance of the modified Terms

9. Disclaimers and Limitations

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantees

  • We do not guarantee that the Service will meet your specific requirements
  • We do not guarantee the accuracy, completeness, or usefulness of any insights or analyses
  • We do not guarantee that your advertising performance will improve by using Hookline
  • AI-generated content may contain errors, inaccuracies, or biases

9.3 Third-Party Services

  • We are not responsible for the availability, accuracy, or policies of third-party services (Meta, TikTok, OpenAI, Anthropic, Clerk)
  • Service interruptions from third-party providers are beyond our control
  • We are not liable for any issues arising from third-party API changes or limitations

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKLINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO HOOKLINE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hookline, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your connection of accounts you do not have permission to access

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features in the Service.

11.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • You fail to pay subscription fees
  • We discontinue the Service
  • Required by law or court order

11.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • We may delete your account and data after a reasonable retention period
  • You remain liable for all charges incurred prior to termination
  • Sections of these Terms that by their nature should survive will remain in effect

12. Dispute Resolution

12.1 Governing Law

12.2 Dispute Resolution Process

  • First, contact us at support@hookline.app to attempt to resolve the dispute
  • If we cannot resolve the dispute within 60 days, disputes will be resolved through binding arbitration
  • You waive any right to participate in class-action lawsuits or class-wide arbitration

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hookline regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

13.5 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance.
